Daniel S. Slipkovich
Chief Executive Officer

Dan Slipkovich co-founded Capella Healthcare with Tom Anderson in April 2005 and serves as Chief Executive Officer for the Company. In his role as Chief Executive Officer of Capella, Dan oversees all facets of the Company’s strategies, operations, finances and corporate governance.

Because of his track record in running hospitals and hospital companies, Dan was instrumental in securing $200 million of initial equity funding from GTCR to establish Capella as a financially strong start-up company. This equity funding, along with the solid backing of GTCR and Dan’s reasoned and calculated approach to business decisions, allowed Capella to acquire its first four hospitals from HCA in a transaction that started Capella off with a strong balance sheet while preserving adequate capital, both for hospital capital needs and future acquisitions.

Prior to co-founding Capella, Dan was President and Chief Operating Officer for Province Healthcare, a rural hospital company which was acquired in April 2005 by LifePoint Hospitals, Inc. At Province, Dan oversaw the operations of 21 non-urban hospitals in markets ranging from rural California to rural Pennsylvania. Dan was brought into Province from LifePoint to replace its retiring Chief Operating Officer.

While at LifePoint, Dan was Senior Vice President and Division President in charge of about one-half of LifePoint’s system of 29 hospitals. He was instrumental in improving LifePoint’s operating results by careful management of internal resources and careful strategic planning to improve operations and expand healthcare services to the community.

Dan began his career with HCA as a hospital Chief Financial Officer. After several promotions within HCA, Dan became Group Vice President and Chief Financial Officer for HCA’s Florida group, which was comprised of 5 divisions including hospitals, surgery centers, employed physicians and risk-based provider networks comprising $6 billion in annual revenue. In 1997, Dan was promoted to Corporate Senior Vice President based in HCA’s Nashville headquarters. In this role he was directly involved in managing the spin-off of LifePoint from HCA. The spin-off was completed in 1999. As a result of the spin-off, Dan joined LifePoint as Division President.

Dan holds an undergraduate degree in accounting from West Virginia University and has masters-level education in business administration at the University of Miami. He is also a Certified Public Accountant. Dan is married to Lisa and has two children. He is active on local boards and councils, including Middle Tennessee Council of Boy Scouts, Association of Retarded Citizens, American Heart Association and Nashville Ballet.

James T. Anderson
President

Tom Anderson co-founded Capella Healthcare with Dan Slipkovich in April 2005 and serves as President for the Company. Because of his significant background in hospital operations and acquisitions, he was instrumental in securing the initial equity funding for the Company and negotiating the transaction to purchase the first four Capella hospitals from HCA. In his role as President for Capella, Tom oversees acquisitions, information technology, human resources and corporate operations.

Prior to co-founding Capella, Tom was Senior Vice President of Acquisitions and Development for Province Healthcare. During his tenure at Province, Tom completed transactions on 18 hospitals. Most of these hospitals were not-for-profit hospitals or governmental hospitals. Tom’s strategy was to actively seek local partnerships with Province to ensure the local community had a meaningful role in the hospital once ownership was transferred to Province. In all cases, the transactions Tom delivered provided more capital dollars to the local facility, more physicians to the community and new tax dollars to local government. It is this model of community-focused acquisitions that Tom has brought to Capella.

Tom began his career in 1975 in public service with the Tennessee Division of State Audit. After that, he joined HCA, first as an internal auditor, then in roles with increasing responsibility at HCA hospitals in Fort Worth and Nashville. In 1980, Tom left HCA to become Chief Financial Officer of Baptist Medical Center in Montgomery, Alabama. Baptist is a major tertiary hospital, which along with its competitor, dominates the hospital market in central Alabama. In 1983, Tom joined Harton Regional Medical Center and in 1984 was named its Chief Executive Officer. In 1990, he was named Chief Financial Officer of Clarksville Memorial Hospital in Clarksville, Tennessee.

Tom joined Community Health Systems in 1992, first as Vice President for Financial Operations and then as a division Chief Executive Officer. In his role at Community, Tom managed the operations of 14 hospitals and oversaw the successful integration of Hallmark Healthcare into the operations of Community Its hospitals were returned to profitability after Community acquired them. Tom left Community in 1998 to join Province as Senior Vice President of Acquisitions and Development. Tom left Province in 2005 to co-found Capella.

Tom holds undergraduate degrees from Freed-Hardman University and Tennessee Technological University and a Master of Business Administration from Auburn University in Montgomery. He is also a Certified Public Accountant. Tom is married to Jade Anderson. They have four children and one grandchild. He is active in church and community activities in his community.

Howard T. Wall, III
Senior Vice President, General Counsel and Secretary

Howard Wall joined Capella in 2005 as General Counsel. In that position, Howard brings a vast knowledge of healthcare law, including extensive experience with state and federal regulatory matters, financial relationships among healthcare providers, corporate governance, joint ventures and hospital transactions. Because of his direct and relevant experience, Howard is instrumental in supporting an effective Ethics & Compliance program, establishing a well-rounded corporate governance function and negotiating legal agreements to partner with local communities.

Prior to joining Capella, Howard was Senior Vice President, General Counsel, Secretary and Corporate Governance officer for Province Healthcare. During his eight-year tenure at Province, Howard oversaw all aspects of corporate governance. He also served as the lead attorney on the closing of all agreements to partner with local communities by leasing or acquiring the local hospital and committing to making major investments after the closing. These commitments often included major capital expenditures to improve the local facility, recruiting more physicians to the community and providing additional tax dollars to the local government.

Howard began his career upon graduating from law school in 1983 with the Nashville law firm of Waller Lansden Dortch & Davis, PLLC. At Waller Lansden, Howard represented numerous large healthcare chains on matters of healthcare transactions, physician/provider relationships, corporate governance and state and federal regulatory matters. In 1989, he was appointed chairman of the firm’s Healthcare Working Group, a position he held until he left Waller Lansden for Province in 1997.

Howard is currently a member of the American Bar Association House of Delegates and serves on the Governing Council of the American Bar Association Health Law Section. He was chairman of the ABA Health Law Section in 1999 and 2000. He is also a member of the Tennessee Bar Association and serves on the editorial board for the BNA Health Law Reporter.

Howard holds an undergraduate degree from Trevecca Nazarene University in Nashville and a law degree from Washington & Lee University in Lexington, Virginia. He is married to Kim Wall. They have two children.

Denise Wilder Warren
Senior Vice President and Chief Financial Officer

Denise Warren joined Capella in 2005 as Chief Financial Officer. She was chosen from among many candidates because of her direct experience with capital formation and her track record at major Wall Street banking institutions. Because of this experience, she has been successful in negotiating favorable financial terms for Capella’s start-up debt financing as well as its most recent acquisition refinancing. She has worked successfully with Capella’s lead underwriting bank to develop a consortium of over twenty banks that have taken an investment in Capella through capital lending and providing adequate debt capacity for future needs.

Prior to joining Capella, Denise was Director of Equity Research for Avondale Partners, LLC, where she was in charge of a research staff of over twenty professionals. Her department provided analytical research on over 100 publicly-traded companies, including companies in healthcare, consumer products, restaurants, retail and technology. She was also part of the senior management team responsible for running the day-to-day operations of Avondale.

Denise began her career in 1980 with Ernst & Young in Raleigh, North Carolina. She then worked for a series of financial firms, including E.F. Hutton, where she was a Registered Representative, Ford Capital, LTD, where she was Assistant Treasurer, and CS First Boston, where she was a lead Financial Analyst for leveraged buy-outs and other financial transaction. While at CS First Boston, Denise led a team for a $65 million secondary offering in the multi-media industry and worked with the team that served as co-manager in an initial public offering of another multi-media company. She left private business in 1994 to attend the Harvard Business School at Harvard University.

After graduating from Harvard, Denise joined Merrill Lynch & Co. in New York as Director and Senior Equity Analyst. Her coverage base of companies included the lodging, stocks, the lodging REITs, the timeshare stocks and the gaming stocks. In her role, she was responsible for directing due diligence on covered companies , authoring in-depth analyst reports and conducting marketing trips with equity investors. She also was honored by her selections to the Institutional Investor All-American Research Team and the Wall Street Journal All-Star Research Team.

In 2000, Denise was appointed as Senior Vice President and Chief Financial Officer for Gaylord Entertainment Company, a hospitality and entertainment company based in Nashville. Gaylord is best known for country radio and television as well as large-scale hotels branded under the Gaylord Opryland name. While at Gaylord, she was named Financial Executive of the Year by the Institute of Management Accountants for her contributions as Chief Financial Officer to Gaylord. Denise returned to her role in equity research when she joined Avondale in 2001.

Denise graduated Phi Beta Kappa, summa cum laude with a Bachelor of Science degree in Economics from Southern Methodist University and holds a Master of Business Administration degree from the Harvard Business School at Harvard University. Denise is married to Michael Warren and has one daughter. She has been active and has held board positions with the non-profit Fannie Battle Day Home for Children.

D. Andrew Slusser
Senior Vice President of Acquisitions and Development

Andy Slusser has served as Senior Vice President of Acquisitions and Development for Capella since the Company was formed in April 2005. Bringing a depth of experience in hospital finance, corporate finance and development to Capella’s ground-floor team, Andy was instrumental in negotiating the transaction and securing the financing to purchase Capella’s first four hospitals from HCA. In his role as Senior Vice President of Acquisitions and Development, Andy leads the Company’s efforts to partner with local communities to improve healthcare services by delivering more capital to expand services, recruit more physicians to serve the community and provide a new tax base to the local governments.

Prior to joining Capella, Andy served as Vice President of Acquisitions and Development for Province Healthcare. During his tenure at Province, Andy played a key role in securing partnerships with several local communities to acquire capital-starved facilities and offer the local community a viable turnaround plan. He led Province’s efforts to identify acquisition opportunities and prepare effective presentation materials for local community stakeholders. He was also the lead project manager on due diligence efforts for potential partnerships. Andy was instrumental in closing 16 transactions involving local community and governmental hospitals. Working with Tom Anderson, Andy brings this community-focused approach to Capella.

Andy began his career in 1981 with HCA as an assistant controller of a Dallas-area hospital. Within four years, Andy was elevated to hospital Chief Financial Officer, first in Dallas and then in Houston. Because of his successful track record as a hospital Chief Financial Officer, Andy was appointed division Chief Financial Officer of HealthTrust’s Eastern Region in 1990. (HealthTrust was spun-off from HCA in 1987 and was re-acquired by HCA in 1995).

Andy holds a degree in Accounting from the University of Texas and is a Certified Public Accountant. He and his wife Karen have one son and one daughter.

Thomas P. Pemberton, II
Senior Vice President and Chief Operating Officer

Tom Pemberton joined Capella in 2006 as Chief Operating Officer and is responsible for all management activities of Capella’s hospitals and surgery centers. Tom has a strong track record in hospital operations, having begun his career as a hospital pharmacist and then progressing through the ranks to rise to the level of Division President for LifePoint Hospitals. While at LifePoint, Tom was in charge of LifePoint’s largest operating division, comprised of LifePoint’s 10+ largest hospitals.

Tom joined LifePoint (then known as Province Healthcare) in 2003 as Vice President of Operations for Province’s Eastern Region. In that role, Tom established a strong working relationship with each hospital; including the management team and the local hospital board. His approach was based on continuous and open dialogue and strategic planning at the local level. Because of this annual strategic planning component, the hospitals were able to develop operating plans to ensure the commitments to the local community would be met. Tom continues this practice at Capella.

Tom began his career as a hospital pharmacist at a Tennessee community hospital. After working his way up to pharmacy director, assistant administrator and hospital Chief Executive Officer at various hospitals, Tom joined HealthTrust Hospitals, Inc. as a hospital CEO. (HealthTrust was spun off from HCA in 1987 and re-acquired by HCA in 1995).

In 1999, Tom became the Chief Operating Officer of a small healthcare chain based in Nashville. After that company was sold, he became the COO of the medical/surgical division of another, larger healthcare chain, also based in Nashville. In 2003, Tom joined Province.

Tom attended Tennessee Technological University in Cookeville, graduated with a degree in pharmacy from Mercer University School of Pharmacy in Atlanta. He also holds a Master of Business administration degree from East Tennessee State University in Johnson City. Tom also played college football for Tennessee Tech and signed as a free agent with the Washington Redskins after college.
